severalproposalsofthestateadministrationforindustryandcommerceonbringingthefunctionsofadministrationforindustryandcommerceintofullplaytofurtherprovidingserviceforthedevelopmentofforeign-investedenterprises

administrationsforindustryandcommerceandmarketsupervisionadministrationsofallprovinces，autonomousregions，municipalitiesdirectlyunderthecentralgovernment，municipalitiesseparatelylistedonthestateplanandsub-provincialcities：

forthepurposeofconscientiouslyimplementingthesomecommentsonfurtherdoingagoodjobintheutilizationofforeigncapitalpromulgatedbythestatecouncil，bringingthefunctionofadministrationforindustryandcommerceintofullplay，providingbetterserviceforthedevelopmentofforeign-investedenterprises，givingbetterplaytothepositiverolesoftheforeigncapitalinpromotingtechnologicalinnovation，industryupgrading，regionalcoordinateddevelopmentandotheraspects，acceleratingandimprovingthequalityandlevelofforeigncapitalutilizationandgivingimpetustothetransferofeconomicdevelopmentmodesactively，thefollowingcommentsareherebyproposed：

i.furtherencourageforeigninvestorstoincreaseinvestment

（i）fullysupportgroupoperationofforeign-investedenterprises.investmentcompaniesestablishedbyforeigninvestorsareencouragedtoapplyforestablishingenterprisegroups.thenamesofenterprisegroupsareallowedtohaveabbreviations;theparentcompaniescanusesuchmarkas“group”or“（group）”intheircompanynames;thenamesofsubsidiarycompaniescanbeprecededbythenamesofenterprisesgroupsortheabbreviations;joint-stockcompanies’namescanalsobeprecededbythenamesofenterprisegroupsortheabbreviationswiththeapprovalfromtheenterprisegroups.

（ii）fullysupportcapitalincreaseofforeign-investedenterpriseswithcreditors’rights.activelyresearchadministrativemeasuresforcapitalcontributionwithcredit，andstandardizetheproceduresofcapitalcontribution.conscientiouslydoagoodjobinthemodificationregistrationofwaysofcapitalcontributionsofforeign-investedenterprises.upontheregistrationofforeignexchangeandapprovalfromtheapprovalauthorities，greateffortsshouldbemadetosupportinvestorsofforeign-investedenterprisestoincreasetheregisteredcapitalwiththecreditors’rightsoftheenterprises.

（iii）activelyencourageforeigninvestorstoestablishpartnershipenterprises.encourageforeignenterprisesorindividualswithadvancedtechnologiesandmanagementexperiencetoestablishpartnershipenterprisesinchinathroughenhancingguidance，practicingmorecoordinationandimprovingefficiency，anddiversifytypesofforeign-investedenterprisesandbroadenchannelsofforeign-relatedeconomiccooperationandtechnologicalexchanges.

（iv）positivelyrenderhelptoalleviateinvestmentdifficultofforeign-investedenterprises.forthoseforeign-investedenterpriseswhichdefaultonfurthercapitalcontributionsduetotemporarycapitalshortageaftertheinitialcapitalcontributionandwithoutarecordoflaw-breaking，-1-

aprolongedtimelimittothecapitalcontributionshallbegrantedbytheregistrationauthoritiesupontheapprovalofapplication.

ii.promotethestructureoptimizationofforeigncapitalutilizationvigorously

（v）vigorouslysupportaccelerateddevelopmentofforeign-investedserviceenterprises.whollyforeign-investedenterprisesorforeign-investedenterprisescontrolledbyforeigninvestorsusingthetitlesofenterprisesinforeigncountries（regions）canapplytousesuchmarkas“（china）”intheirnames，iftheyinvestinmodernserviceindustryandhighandnewtechnologyindustrywithregisteredcapitalofrmb30，000，000.uponotherwisespecified，foreign-investedserviceenterprisesandtheirauthorizedbranchescanapplyforregistrationofotherbusinessbranchesattheregistrationauthoritieswheretheyarelocated.

（vi）substantiallysupportestablishmentoffunctionalorganizationsbymultinationalcorporationsandinvestmentinserviceoutsourcingindustrybyforeigninvestors.formultinationalcorporationswhichestablishtheregionalheadquarters，r&dcenters，purchasecenters，financemanagementcenters，settlementcenters，costandprofitcalculationcentersandotherfunctionaldepartmentswithinchinaandforeign-investedserviceoutsourcingenterprises，wordsindicatingthefunctionsoftheirenterprisescanbeusedintheenterprisenamesanddescriptionofbusinessscope.

（vii）provideactiveserviceintrans-regionaltransferofforeign-investedenterprises.providebetterservicestoimprovetheregistrationservicesystemandstrengthenthecontinuityofforeign-investedenterprisesregistration.forthoseforeign-investedenterprisestransferringfromtheeasternregiontothecentralandwesternregioninchina，registrationauthoritiesshouldcarryoutfirst-askedresponsibilitysystem，andprovidefull-waytracingservicestoactivelyprovideefficientregistrationserviceforenterprisetransfer.

（viii）provideactiveserviceinconstructionofbordereconomiccooperativezone.measuresshouldbetakentoencourageinvestorstoestablishforeign-investedenterprisesofvarioustypesinbordereconomiccooperativezones.positivelyguideforeignanddomesticnaturalpersonstoestablishforeign-investedpartnershipenterprisesinthosezonesandclarifytheiroperationentitiesqualificationssoastopromotetheconstructionofbordereconomiccooperativezones.

（ix）provideactiveserviceindiversificationofforeigncapitalutilizationmodes.activelyparticipateinthejointexaminationofm&aconductedbyforeigncapital，standardizetheproceduresofregistrationintheprocessofm&abyforeigninvestors，providehigh-qualityregistrationservices，andfullysupportforeigninvestmenttoparticipateinreorganizing，reforming，mergingandrestructuringdomesticenterprises.

（x）strictlyrestrainenterpriseswithlaggardoutputcapacity.enforceregistrationmanagementandcooperatewithrelevantauthoritiestodoagoodjobintheregistrationofmodification，cancellationandrevokingbusinesslicensesof“high-polluting，high-energy-consumingandresource-dependent”andlow-levelandovercapacityexpansionforeign-investedenterprises，soastoimprovethecapacityofeconomicandsocialsustainabledevelopment.

iii.putforthefforttoraisethecapabilityinserviceforthedevelopmentforeign-investedenterprises

（xi）furtherimproveservicequalityofforeign-investedenterprisesregistration.the“oneexaminationandoneapproval”systemshouldbeimplementedinanall-roundwaytosimplifytheproceduresofexaminationandapproval.thepowerandresponsibilityofexaminationandapprovalpersonnelneedtobeclarified，andregistrationbehaviorsshouldbefurtherstandardized.

（xxiv）furtherperfectthelong-termmechanismofsupervisionofforeign-investedenterprises.makefulluseofthedoubleadvantagesoftheauthorizedregistrationandterritorialsupervisionofforeign-investedenterprises，conscientiouslyimplementthesupervisionresponsibilityoftheadministrationsforindustryandcommercewheretheforeign-investedenterprisesarelocated，strengthenterritorialsupervisionofforeign-investedenterprisesandpromotelegaloperationandhealthydevelopmentofforeign-investedenterprises.

（xxv）practicallyimproveuniformityinadministrationandlawenforcementofforeign-investedenterprises.superviseandadministrateforeign-investedenterprisesaccordingtolaw，andexercisediscretionproperly.establishmechanismsofhandlingcomplaintsfromforeign-investedenterprises，activelycommunicatewithorganizationssuchasforeign-investedenterprisesassociationandassociationofliaisonsforindustrialandcommercialregistration.earnestlylistentotheopinionsandsuggestionsfromforeign-investedenterprises，handletheproblemsreportedbyforeign-investedenterprisesaccordingtolawandpragmaticallymaintaintheirlegalrightsandinterests.

（xxvi）furtherstrengthencoordinationandcorporationbetweensectionsconcerned.makeeffortstostrengthencoordinationandcommunicationwithrelateddepartmentssoastosolvenewproblemsarisingintheexamination，approvalandregistrationofforeign-investedenterpriseintime.strengtheninformationexchangeswithrelateddepartmentstomakejointeffortsinprovidingservicesforthehealthydevelopmentofforeign-investedenterprises.
